By accessing or using Padar ("the Platform"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, do not use the Platform. These terms apply to everyone who uses the Platform, including early access users and anyone using it as a member of someone else’s team.

Padar is a shared development environment for software teams. It creates isolated workspaces, runs coding agents and terminals inside them, and streams them to the Padar desktop app and the Padar apps for iOS and Android. The Platform allows you to: •Start a workspace from a repository, a branch or an issue, with its environment already running •Run coding agents and terminals inside that workspace •Open a teammate’s running workspace and work in it alongside them •Run your workspaces on machines we operate, or on machines you enroll yourself Workspaces, agents and terminals run on machines, not on our servers. Which machines is your choice, and section 5 is about that choice.

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately if you suspect unauthorized access to your account. We reserve the right to suspend or terminate accounts that violate these terms or engage in abusive behavior toward our team or platform.

You own everything you build on Padar. All code, designs, database schemas, configurations, and other project assets created through the Platform are your intellectual property. Padar does not claim any ownership, license, or rights to your projects. You may export, modify, redistribute, or commercialize your work without restriction. We do not use your project data to train AI models, and we do not share it with third parties except the ones you connect yourself. Your source code is checked out and edited on the machines that run your workspaces; it does not live on our control plane.

Every workspace, agent and terminal runs on a machine. You choose which: •Our infrastructure — machines we operate and maintain for you. •Your own machines — machines you enroll, inside your own network. Your workspaces, your repositories and your keys stay there. Connections between your client and a workspace are direct. Terminal traffic, agent output and forwarded ports do not relay through our servers. If you enroll your own machines, they remain yours to run: their availability, their security, their operating system and anything else installed on them are your responsibility. We are not liable for loss, downtime or damage caused by machines we do not operate.

Coding agents run under your own subscription with the provider you sign in to — Claude Code, Codex or Cursor. We do not resell, proxy or meter model access, and we do not charge for it. Your use of those tools is governed by their terms, not ours. Their availability, their limits and what they produce are theirs. You are responsible for reviewing what an agent does in your workspace. Agents write files and run commands, and they can reach whatever the workspace can reach.

A workspace can be opened by the people you grant access to. Anyone with access can see what an agent is doing in it and act inside it, including in its terminals. Who you invite to a team, a project or a workspace is your decision and your responsibility. When you connect a third-party account — a repository host, an issue tracker or a model provider — you authorize the Platform to act with the access that account grants, on your behalf. You can disconnect it at any time.

You agree not to use Padar to: •Build or run software that is illegal or promotes illegal activity •Distribute malware, ransomware, or other malicious software •Infringe on the intellectual property rights of others •Harass, abuse, or threaten our team members •Attempt to access other users’ projects or data •Overload, disrupt, or interfere with the Platform’s infrastructure •Resell or sublicense access to the Platform without permission We reserve the right to suspend or terminate accounts that violate these terms.

Padar is in early access. While it is, the Platform is provided free of charge, and features may change, break or be withdrawn without notice. If we introduce paid plans, what each one includes, what it costs and how it is billed will be shown before you subscribe to it. We will give at least 30 days’ notice by email before changing the price of a plan you are already on.

The Platform is in two halves, and which half your data is in is the thing worth knowing: •Your workspaces — source code, files, running processes and everything they produce live on the machines that run them: ours, or your own. •Our control plane — hosted on Supabase within the European Union. It holds what is needed to coordinate the machines: teams and membership, projects and repository references, workspace definitions and where they are placed, the status the machines report back, synced issue and git state, and the credentials for the accounts you connect. Those credentials are readable by the machine that needs them and by no other user. We implement appropriate technical and organizational measures to protect your data in accordance with applicable data protection regulations. We strive to maintain high availability but do not guarantee 100% uptime. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any losses resulting from Platform downtime, including but not limited to lost revenue, missed deadlines, or data loss.

To the maximum extent permitted by law, Padar and its team are not liable for: •Indirect, incidental, or consequential damages •Loss of profits, data, or business opportunities •Damages resulting from third-party services or integrations •Issues arising from code generated by AI that was not reviewed by the user Our total liability for any claim is limited to the amount you paid for the Platform in the 12 months preceding the claim.

You may close your account at any time. Upon closure, the data we hold about you and your projects is permanently deleted within 30 days. Anything on machines you operate yourself is not ours to delete. Removing workspaces, checkouts and keys from your own machines is up to you. We may terminate or suspend your account if you violate these terms. In cases of serious violations, termination may be immediate and without prior notice. Upon termination, you may export your projects before the deletion period ends.

We may update these terms from time to time. Significant changes will be communicated via email or in-app notification at least 14 days before they take effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated terms.

These terms are governed by the laws of the European Union. Any disputes arising from these terms or your use of the Platform will be resolved in accordance with the applicable laws of the European Union.
